Terms of Service

These Terms of Service ('Terms') govern your access to and use of valleyofdigital.com and all services provided by Valley of Digital Inc ('we', 'us', 'our'). By accessing our website or engaging our services, you agree to be bound by these Terms in full. If you do not agree, please do not use our services.

2. Services

Valley of Digital Inc provides a full range of digital design, development, and marketing services. All services are custom-scoped and delivered electronically. No physical products are sold or shipped. Our service categories include:

Design & Creative

  • Logo design and brand identity
  • Graphic design and visual communication
  • Video design and motion graphics
  • 2D and 3D animation

Web & Digital

  • Website design and development (Webflow, WordPress, Shopify, Squarespace, React, custom)
  • E-commerce store design and development
  • Landing page and conversion-focused web design

Application & Software Development

  • Mobile application design and development (iOS and Android)
  • Custom software development
  • Dashboard and data visualization products
  • Software as a Service (SaaS) product design and development
  • AI automation tools and workflow integrations
  • Custom business solutions and internal tooling

Marketing & Strategy

  • Search Engine Optimization (SEO)
  • Social Media Management (SMM)
  • Pay-Per-Click (PPC) advertising management
  • Branding strategy and brand guidelines

For mobile app, SaaS, dashboard, custom software, and AI automation engagements, a Statement of Work (SOW) or project contract will be provided and must be signed before work commences. The SOW defines scope, deliverables, timeline, payment milestones, and acceptance criteria.

3. Project Initiation & Client Responsibilities

Upon engagement, a detailed scope of work and project timeline will be agreed and provided to the client, including key milestones and deliverables. Clients are responsible for providing all required information, materials, approvals, and feedback in a timely manner. Delays caused by incomplete or late client input do not constitute grounds for a refund and may affect agreed delivery timelines.

For software, app, and AI automation projects, the client is responsible for providing accurate technical requirements, access to necessary systems where required, and timely feedback at each milestone. Scope changes after project commencement must be submitted as a formal change request and may affect timeline and cost.

4. Payments & Billing

All payments are processed through Stripe, a PCI-DSS Level 1 certified payment processor. By providing payment information, you authorise Valley of Digital Inc to charge the agreed amount for the services selected.

Services are billed in USD by default. CAD and GBP billing is available where agreed in writing before the transaction. The transaction currency is confirmed before payment is completed.

For larger engagements (web, app, SaaS, custom software, AI automation), payments are typically structured in milestones as defined in the Statement of Work (e.g. deposit on signing, payment on design approval, payment on development completion, final payment on launch).

Recurring services are billed automatically at the start of each billing cycle. You authorise Valley of Digital Inc to charge your payment method on file until the subscription is cancelled in accordance with Section 8.

Use of stolen or fraudulent payment methods is strictly prohibited and will be reported to the relevant federal and state agencies.

5. Delivery

Design deliverables are delivered electronically within 5–7 business days of receiving a completed creative brief and initial payment, unless otherwise agreed in writing. Website projects are typically delivered within 4–8 weeks depending on scope and complexity.

Mobile app, SaaS, dashboard, custom software, and AI automation projects follow a phased delivery schedule defined in the Statement of Work. Each phase is subject to client review and approval before the next phase commences.

A project reference number is issued after each order. All revision and refund timelines apply from the date of delivery to the client's designated email or account area.

6. Revisions & Change Management

Revision entitlements are determined by the service package or Statement of Work. Revisions are free of charge where the original concept and scope remain unchanged.

For websites and mobile applications, revisions apply to the design stage only. Once development has commenced, changes to scope require a written change order and may incur additional fees and timeline adjustments.

For SaaS products, dashboards, custom software, and AI automation tools, all change requests during development are managed through the change management process defined in the Statement of Work. Revision turnaround time is 48 business hours for design; development change orders are scoped and estimated individually.

7. Refund Policy

All refund requests are governed exclusively by our Fulfillment Policy, available at valleyofdigital.com/fulfillment-policy. In the event of any conflict between these Terms and the Fulfillment Policy regarding refunds, the Fulfillment Policy shall prevail.

In summary:

  • Refunds are considered where work has not commenced and a request is made within 12 hours of initial delivery.
  • For app, SaaS, dashboard, and custom software projects, no refund is available once development has commenced following design approval.
  • All approved refunds are subject to a 7% administrative fee.
  • Non-refundable services include SEO, Social Media Management, Domain Registration, Web Hosting, and recurring retainers once the service period has begun.

8. Cancellation Policy

One-time and fixed-scope projects: Cancellations are not accepted once a project contract or Statement of Work is signed and work has commenced. Cancellations within 24 hours of signing and before work begins must be submitted in writing to support@valleyofdigital.com.

Recurring subscriptions: Subscriptions may be cancelled with a minimum of 15 days written notice before the next billing date, submitted via email, phone, or live chat. Cancellation of a hosted service or deletion of assets does not automatically cancel billing — a formal written request is required.

9. Acceptance & Approval

Before final delivery or deployment, clients will be given the opportunity to review and formally approve the completed work or milestone. Explicit approval, or implied approval through requesting the next phase of work to proceed, constitutes acceptance and terminates refund eligibility for that deliverable or phase.

For software and app projects, each milestone sign-off is final. Changes to approved milestones are treated as new scope and handled via a change order.

10. Intellectual Property

Upon receipt of full and final payment, all finalised design files, code, and deliverables become the property of the client, unless otherwise agreed in writing in the Statement of Work.

For SaaS, AI automation, and custom software projects, intellectual property transfer terms (including any third-party libraries, open-source components, or proprietary frameworks used) are specified in the Statement of Work. Valley of Digital Inc retains rights to any proprietary tools, frameworks, or methodologies used in delivery unless explicitly transferred.

Work in progress, initial concepts, and deliverables from refunded or unpaid projects remain the intellectual property of Valley of Digital Inc. The client may not display, distribute, or use refunded or unpaid work in any form.

Valley of Digital Inc retains the right to display completed client work in its portfolio unless the client requests otherwise in writing, or where an NDA is in place.

11. Confidentiality

Valley of Digital Inc treats all client project information, business data, technical specifications, and materials as confidential. We will not disclose client information to third parties except as required to deliver the services (e.g. hosting providers, payment processors) or as required by law.

12. Dispute Resolution

If you have a concern about a charge or service quality, please contact us before initiating a dispute with your bank or card issuer:

  • Email billing@valleyofdigital.com with your order reference and a description of the issue. Our billing team will respond within 2 business days.
  • If unresolved, escalate to refund@valleyofdigital.com for final review.
  • Please allow 5 business days for resolution before contacting your payment provider.

Initiating a chargeback without prior contact may result in suspension of services.

13. Limitation of Liability

Valley of Digital Inc's total liability for any claim arising from services rendered shall not exceed the total amount paid by the client for the specific service or project phase in question. We are not liable for indirect, consequential, incidental, or punitive damages arising from the use of, or inability to use, our services or deliverables.

Valley of Digital Inc does not guarantee specific business outcomes, revenue results, search engine rankings, or performance metrics as a result of services delivered, unless explicitly committed to in writing in the Statement of Work.

14. Third-Party Services & Integrations

Some services — including web hosting, domain registration, third-party API integrations, AI platform subscriptions, and advertising platforms — involve third-party providers. Valley of Digital Inc is not liable for outages, changes, or pricing adjustments made by third-party providers. Clients are responsible for maintaining their own accounts and subscriptions with third-party platforms where required.

15. Acceptable Use

Clients may not use Valley of Digital Inc's services to create, host, or distribute content that is unlawful, defamatory, obscene, fraudulent, or infringing on third-party intellectual property rights. Valley of Digital Inc reserves the right to decline or terminate engagements that violate this provision.

16. Governing Law

These Terms are governed by the laws of the State of New York, United States, without regard to conflict of law provisions. Any disputes shall be resolved in the courts of New York.

17. Changes to These Terms

Valley of Digital Inc reserves the right to update these Terms at any time. The revised version will be posted on this page with an updated effective date. Continued use of our services after changes are posted constitutes acceptance of the updated Terms.
